How to Start a Nonprofit in Arkansas
Arkansas combines a straightforward nonprofit formation process with favorable compliance rules. The state provides a 501(c)(3)-specific incorporation form (rare among states), free annual reporting, free charitable solicitation registration with no annual renewal, and free state tax exemption applications. However, you must apply separately for state income and sales tax exemptions—federal status doesn't automatically confer these.
Formation Requirements
Arkansas has one of the best-designed nonprofit formation processes in the country. The key advantage: Arkansas provides a pre-made Form NPD-01-501-c-3, specifically designed for 501(c)(3) organizations.
This form includes all the IRS-required language (purpose clause, dissolution clause, private inurement prohibition, political activity restriction) pre-printed. Most states make you add this language yourself. Arkansas handles it for you.
The process:
- Search the SOS name database
- Fill out Form NPD-01-501-c-3 (the 501(c)(3) version)
- File online ($45) or by mail ($50)
- Processing takes 3-10 business days
- Receive your Certificate of Incorporation
Filing costs:
- Articles of Incorporation: $45 (online) or $50 (mail)
- Name reservation (optional): $25
- Total: $45-$75 for formation
Arkansas requires a minimum of 3 directors. You'll also need to designate a registered agent with a physical Arkansas address.
Governance Requirements
Arkansas requires a minimum of 3 directors. Required officers are President, Secretary, and Treasurer. One person cannot serve as both President and Secretary.
You must adopt bylaws (not filed with the state). Bylaws should address meeting procedures, director and officer provisions, committees, and your fiscal year.
You need a registered agent with an Arkansas physical address. The agent can be an individual or business entity authorized in Arkansas. Change of agent costs $25.
Tax Exemption: The Two-Application System
This is Arkansas's biggest requirement: you must apply for state exemptions separately from federal status.
State Income Tax Exemption:
File Form AR1023CT with the Arkansas Department of Finance & Administration. This is free. Include:
- Completed application form
- Copy of your IRS determination letter (or apply before federal approval)
- Copy of your Articles of Incorporation
- Copy of your Bylaws
Processing takes 1-2 months. Until you receive state approval, you may technically be liable for Arkansas corporate income tax—federal status doesn't automatically exempt you.
State Sales Tax Exemption:
File Form F0003 (Streamlined Sales Tax Agreement Certificate of Exemption) with the Arkansas Department of Finance & Administration. This is free. Include:
- Completed application form
- Proof of 501(c)(3) status
Processing takes 1-2 months. Once approved, you can make purchases for your organization without paying sales tax. Arkansas does provide a general sales tax exemption for 501(c)(3) organizations (unlike Alabama, Arizona, and California)—you just have to apply for it.
Both applications can be filed simultaneously, but plan for 1-2 months to have everything approved.
Ongoing Compliance
Annual Report: Due August 1 annually. It's technically called a "franchise tax report," but nonprofits file it free of charge (no tax owed). This is Arkansas's generous nonprofit-friendly policy. File online through the SOS portal.
Form 990 to AG: File a copy of your Form 990 with the Arkansas Attorney General within 180 days of fiscal year end. This timeline is more generous than most states (which require 30-90 days).
Charitable Solicitation: File Form CR-01 (free) with the Secretary of State before you begin soliciting. Unlike most states, Arkansas has no annual renewal requirement. You only need to keep your registration information current—update within 30 days if anything changes. Also file your Form 990 copy with the AG as mentioned above.
Charitable Solicitation
If you plan to solicit contributions in Arkansas, you must register before you begin. Registration is free and filed online with the Secretary of State.
Exemptions:
- Organizations receiving less than $25,000 in contributions annually with only unpaid volunteers
- Religious organizations
- Educational institutions with defined curriculum
Exempt organizations must still file for the exemption—it's not automatic. Process the exemption application through the SOS portal.
Key Deadlines
- Formation filing: 3-10 business days
- State income tax exemption: 1-2 months (apply immediately after federal approval)
- State sales tax exemption: 1-2 months
- Annual report: August 1
- Form 990 to AG: Within 180 days of fiscal year end
- Charitable solicitation registration: Before you begin soliciting (then no annual renewal)
Important Considerations
501(c)(3)-Specific Form is Huge: Arkansas Form NPD-01-501-c-3 is one of the best features of Arkansas nonprofit law. It saves you time and ensures all required IRS language is included. Use this form—don't use the generic nonprofit form.
Two Separate State Tax Applications: This can trip up founders. You must apply separately for state income tax exemption (Form AR1023CT) and state sales tax exemption (Form F0003). Federal approval doesn't trigger automatic state approval in Arkansas.
Free Annual Report: Arkansas's free annual report (and no penalty) is genuinely generous. Many states charge $25-$50 annually.
Free Charitable Solicitation, No Annual Renewal: This is one of the most nonprofit-friendly charitable solicitation regimes in the country. Once you register (free), you're set. No annual renewal, no annual fees—just keep your information current.
180-Day Form 990 Filing to AG: Arkansas gives you 180 days (about 6 months) to file your Form 990 with the AG. This is more generous than most states and gives you breathing room.
Two-Step Income Tax Exemption: Plan for 1-2 months between federal determination and state income tax exemption approval. Until state approval comes through, you're technically still liable for Arkansas income tax.
